Education only. This is not financial, legal or tax advice, and it is not an offer. Terms vary by provider and case. Take independent advice before you sign anything.

The short answer

Directors, controlling shareholders and substantial shareholders of listed companies may have to disclose a share pledge or financing, and the company itself may have to announce it. The duty depends on the market, your role, the size of your holding and how the facility is structured. Plan disclosure with your company secretary and legal adviser before you sign.

Market notes

  • Hong Kong: the disclosure of interests regime in the Securities and Futures Ordinance (Part XV) and listing rules can apply to pledges by substantial shareholders, directors and controlling shareholders. See our HKEX share pledge guide.
  • Singapore and Malaysia: directors and substantial shareholders have notification duties that can be triggered by changes in interests.
  • Other markets (Thailand, Indonesia, Taiwan, Japan, Australia, Vietnam): each has its own substantial-holding and insider rules; take local advice.

Planning checklist

  • Confirm your role and holding size.
  • Check whether the structure changes your interest in the shares.
  • Check company dealing windows and blackout periods.
  • Prepare any notifications before funding.
  • Keep the company informed where its own announcements may be needed.

Frequently asked questions

It depends on your role, holding size, market and structure. Directors, controlling and substantial shareholders should take legal advice.

In some markets a listed company must announce pledges by controlling shareholders. Check with the company secretary.

Disclosure depends on your interest in the shares and the market rules, not on the label. Ask your legal adviser.

Where a disclosure duty applies it must be met. Where none applies, the facility is a private arrangement.
